Important: Please read these Terms carefully before using CarPorter.ca. By listing a vehicle, placing a bid, or accessing any part of this platform, you agree to be legally bound by these Terms. CarPorter.ca operates as a marketplace only and is not liable for vehicle transactions conducted between sellers and dealers.

1. Acceptance of Terms

By accessing or using the CarPorter.ca platform ("Platform"), whether as a vehicle seller, registered dealer, or visitor, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must immediately discontinue use of the Platform. CarPorter.ca reserves the right to update these Terms at any time without prior notice. Continued use of the Platform after any changes constitutes acceptance of the revised Terms.

2. Nature of the Platform — Marketplace Only

CarPorter.ca is a digital marketplace that connects private vehicle sellers with licensed used car dealers. CarPorter.ca is NOT a party to any vehicle transaction between a seller and a dealer. CarPorter.ca does not buy, sell, own, inspect, appraise, or take possession of any vehicle listed on the Platform. CarPorter.ca acts solely as a technology facilitator and introduction service.

3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW: (a) CarPorter.ca, its directors, officers, employees, agents, partners, and affiliates ("CarPorter Parties") shall NOT be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to any vehicle transaction facilitated through the Platform; (b) CarPorter Parties are not responsible for the accuracy, completeness, or truthfulness of any vehicle listing, disclosure, document, or communication submitted by any user; (c) CarPorter Parties make no warranties or representations regarding the condition, title, value, roadworthiness, or legality of any vehicle listed on the Platform; (d) CarPorter Parties are not responsible for any loss, theft, damage, accident, or injury arising before, during, or after a vehicle transaction; (e) CarPorter Parties are not responsible for disputes between sellers and dealers, including disputes regarding vehicle condition, payment, or title transfer; (f) The total aggregate liability of CarPorter.ca to any user for any claim shall not exceed the connection fee paid by that user ($169.50 CAD including HST).

4. Seller Responsibilities

Sellers represent and warrant that: (a) They are the sole registered owner of the vehicle listed, or are duly authorized to sell it; (b) The vehicle is free of all liens, encumbrances, and financial obligations, except as disclosed; (c) All known mechanical, cosmetic, structural, and history defects have been fully disclosed in the listing; (d) All documents uploaded (ownership permit, CARFAX, safety certificate) are genuine, unaltered, and current; (e) They will not misrepresent the vehicle's condition, mileage, accident history, or ownership status; (f) They understand that submitting a false or misleading listing may result in immediate account suspension and potential legal liability.

5. Dealer Responsibilities

Dealers represent and warrant that: (a) They hold a valid Ontario Motor Vehicle Dealer registration (OMVIC) or equivalent provincial license; (b) All bids placed on the Platform represent a genuine intent to purchase; (c) Payment to the seller will be made promptly upon acceptance of a bid; (d) The $150 CAD connection fee (plus HST) is non-refundable once seller contact information has been released; (e) They will conduct their own independent inspection and due diligence prior to finalizing any purchase.

6. No Vehicle Inspection or Appraisal

CarPorter.ca does not inspect, appraise, or independently verify any vehicle listed on the Platform. Any estimated wholesale value range provided on the Platform is generated by an AI model for informational purposes only and does not constitute a professional appraisal. Dealers and sellers are solely responsible for conducting their own due diligence. CarPorter.ca expressly disclaims any responsibility for inaccurate valuations.

7. Connection Fee & Refund Policy

The CarPorter connection fee of $150 CAD plus HST (13%) is charged to winning dealers as a one-time service fee for the introduction to the seller. This fee is strictly non-refundable once seller contact information has been released by CarPorter.ca administration. Disputes regarding vehicle condition after introduction are strictly between the buyer (dealer) and the seller. CarPorter.ca will not adjudicate or mediate such disputes.

8. Wholesale Value Estimates — Disclaimer

Any vehicle wholesale value estimates displayed on the Platform are generated using publicly available market data and AI-based models. These estimates are approximate ranges only and do not reflect actual market conditions, regional demand, vehicle history, mechanical condition, or current dealer inventory levels. CarPorter.ca makes no guarantee that any vehicle will receive bids within or above the estimated range. Sellers should not rely solely on these estimates when making financial decisions.

9. Prohibited Conduct

Users of the Platform may not: (a) Submit false, misleading, or fraudulent listings or bids; (b) Circumvent the Platform to conduct transactions directly without paying applicable fees; (c) Harass, threaten, or abuse other users; (d) Upload documents that are forged, altered, or do not pertain to the listed vehicle; (e) Use the Platform for any unlawful purpose under Canadian federal or Ontario provincial law.

10. Privacy & Data

CarPorter.ca collects personal information (name, email, phone, vehicle details) solely for the purpose of facilitating vehicle transactions. Seller contact information is shared only with the winning dealer after the $150 connection fee is confirmed. CarPorter.ca does not sell personal information to third parties. Data is stored securely and handled in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA).

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada. Any disputes arising from these Terms or use of the Platform shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
